Terms of Use

Welcome to Gifts In Kind ("GIK", "we", "us"). By accessing or using our beta web application (the "Service"), you agree to these Terms of Use. If you do not agree, please do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old to use the Service. When you create an account, you agree to provide accurate, up-to-date information and to maintain the security of your login credentials. You are responsible for all activity that occurs under your account. GIK may suspend or close accounts for misuse, inactivity, or policy violations.

2. Organization Participation

Organizations manage their own member access within the Service. When you join or administer an organization, you represent that you are authorized to act on its behalf. Organization-level configuration, including forwarding inboxes, must only be used for legitimate organizational purposes.

3. Beta Service

The Service is provided on a beta basis. Features may change, be interrupted, or be removed at any time without notice. We may collect feedback or usage data to improve the Service.

4. Acceptable Use

When using the Service, you agree not to:

• Upload unlawful, defamatory, infringing, or harmful content.
• Attempt to access data you are not authorized to view.
• Interfere with the Service or bypass security measures.
• Use automated scripts, scrapers, or bots without written permission.

5. Data and Privacy

We process data as described in our Privacy Policy. Organization administrators may access member information and activity within their organization. You are responsible for handling any personal or sensitive data you upload in compliance with applicable laws.

6. Intellectual Property

GIK owns the Service, including its code, branding, and other materials, excluding content provided by users. You retain ownership of your content but grant GIK a non-exclusive license to host, display, and process it as needed to operate the Service. Do not use GIK trademarks or materials without prior written permission.

7. Third-Party Services

GIK may integrate with third-party services such as Supabase or email providers. Those services are governed by their own terms. GIK is not responsible for third-party actions or content.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GIK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of Liability

GIK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST DATA OR PROFITS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF 100 USD OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless GIK from any claims, damages, or expenses arising from your misuse of the Service, your content, or your violation of these Terms of Use.

11. Termination

You may stop using the Service at any time. GIK may suspend or terminate access if you violate these Terms or as necessary for beta program changes. Sections intended to survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will remain in effect.

12. Changes

We may update these Terms from time to time. Material changes will be communicated with reasonable notice. Continuing to use the Service after notice constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Michigan, excluding conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Wayne County, Michigan.
